Terms of Service

01What this is

These terms are the agreement between you and MDF Labs, the trade name of Jorge Bolois, NIF 73166129R, a sole trader established in Zaragoza, Spain, for the use of our applications, including MDF Inventory Forecasting for Shopify. Installing an app means you accept them. If you install for a business, you confirm you are allowed to accept for it.

The Privacy Policy is part of these terms.

02The service

MDF Inventory Forecasting reads your Shopify products, inventory and order history, estimates how fast each variant sells and how many days of stock you have left, suggests reorder quantities, and lets you create purchase orders and download them as PDFs. When you mark an order received, it can update the available quantity in Shopify.

A forecast is an estimate built from your past sales. It will be wrong sometimes. It cannot know about a promotion you have not run yet, a supplier that will be late, or a product that stops selling. You decide what to order. We give you a number and show you how we got to it.

The app runs inside Shopify and depends on Shopify's APIs being available and behaving as documented. When Shopify changes, we adapt as fast as one person can.

03Availability

We keep the app running and fix what breaks. We do not promise an uptime percentage, because we could not honestly keep one. Planned maintenance is announced in the app where we can. The current state of the service is at www.mdflabs.dev/status.

If the service is down, your data is still in Shopify; the app holds derived figures and your suppliers and purchase orders, nothing you could not rebuild.

04Your account and your data

You keep all rights to your data. You grant us the permission to process it as described in the Privacy Policy, for the sole purpose of running the app for you.

You are responsible for the data you enter, including making sure you may lawfully hold and use your suppliers' contact details.

You are responsible for keeping your Shopify staff accounts secure. Anyone who can open your Shopify admin can open the app.

05Acceptable use

Use the app for your own shop, or for shops you manage with their owner's permission. Do not:

• resell, sublicense or offer the app as your own;
• probe, scan, overload or attempt to break the service or its hosting;
• try to access another shop's data;
• copy or reverse-engineer the app beyond what the law allows;
• use the app to break any law or Shopify's terms.

We may suspend or end access for a shop that does any of this, after telling you unless the situation makes that unreasonable.

06Billing

Payment is handled by Shopify Billing and appears on your Shopify invoice. We never see your card or bank details.

The current price and any free trial are shown on the app's listing in the Shopify App Store and on the approval screen in Shopify before you are charged. Prices exclude any tax Shopify has to add for your country.

If we change the price, Shopify will ask you to approve the new charge before it applies. If you do not approve, the app stops at the end of the paid period.

Refunds: Shopify's refund rules apply. If you think you were charged in error, write to hello@mdflabs.dev and we will sort it out with Shopify.

07Termination

You end this agreement by uninstalling the app from your Shopify admin. Billing stops according to Shopify's rules. Your data is then erased as described in section 07 of the Privacy Policy.

We may end it if you break section 05, if Shopify removes the app, or if we discontinue the app. If we discontinue it, we will give at least 30 days' notice in the app and by email to your shop's contact address, and before the end we will give you a way to take your suppliers and purchase orders with you.

Sections 08 to 11 survive termination.

08Liability

The app is provided as it is, with the care one independent developer can reasonably give. We do not guarantee that forecasts are accurate, that stock will not run out, or that you will not over-order.

To the extent the law allows:

• We are not liable for indirect or consequential loss — lost sales, lost profit, excess stock, supplier disputes, or damage from a decision made on a forecast.
• Our total liability to you for everything arising from these terms in any twelve-month period is capped at the fees you paid us for the app in those twelve months.

Nothing in these terms limits liability that cannot legally be limited, including for death, personal injury, fraud, or wilful misconduct, or your statutory rights if you are treated as a consumer where you live.

09Data processing terms

For your shop's business data, you are the controller and we are the processor. These terms are the data processing agreement between us, as Shopify requires of every app that processes protected customer data, and as Article 28 of the GDPR requires.

• Instructions. We process the data only to provide the app, following the settings you choose. We will tell you if we believe an instruction breaks data protection law.
• Scope. The data, purposes and retention are those in the Privacy Policy, sections 02, 03 and 07. No customer-identifying data is processed.
• Confidentiality. The only person with access to production is bound to keep it confidential.
• Security. We apply the measures in Privacy Policy section 07.
• Subprocessors. You authorise the subprocessors in Privacy Policy section 04. We tell you before adding one; you may object by uninstalling.
• Transfers. Your shop's data is stored in the EU. Any access from outside the EU is under the EU Standard Contractual Clauses.
• Requests from individuals. We help you answer them, including through Shopify's mandatory webhooks.
• Breach. We notify you without undue delay and within 72 hours of becoming aware, as in Privacy Policy section 07.
• Deletion. On termination we erase your data within 30 days, as in Privacy Policy section 07.
• Audit. On written request, no more than once a year, we will answer your reasonable questions about how we handle your data and provide the evidence we have, such as subprocessor agreements. An on-site audit is not something a one-person lab can offer; if the law requires one, we will discuss it.

10Changes

We may change these terms. If a change reduces your rights or increases your obligations, we will show it in the app at least 14 days before it applies. Continuing to use the app after that date means you accept it. If you do not, uninstall before then.

11Governing law

These terms are governed by Spanish law. Disputes go to the courts of Zaragoza, Spain, unless you are a consumer with a legal right to sue where you live.
